Definitions

In these Terms and Conditions, the following words and expressions shall have the meanings set out below:

“Acceptable Use Policy” or “AUP” means the policy governing permitted use of PAAM, as published and updated from time to time at hotboxstudios.co.uk/terms/aup/.

“Agreement” means these PAAM User Terms and Conditions, together with any policies referenced herein, including the Acceptable Use Policy and Privacy Policy.

“Hosting Services” means the infrastructure, storage, and technical environment used to provide access to PAAM.

“Hotbox” / “Hotbox Studios Limited” / “We” / “Us” / “Our” means Hotbox Studios Limited, the provider and operator of PAAM.

“PAAM” means the software platform, application, and associated services provided by Hotbox Studios Limited.

“Services” means all functionality, features, tools, and services made available through PAAM.

“User” / “You” / “Your” means any individual or entity accessing or using PAAM.

“Account” means a registered user profile created to access and use PAAM.

“Organisation” means any third party (such as an event organiser, employer, or programme administrator) using PAAM to manage events, applications, placements, or related activities.

“Content” means any data, text, images, files, personal information, or other material submitted, uploaded, or transmitted via PAAM.

“Personal Data” has the meaning given to it under applicable data protection legislation and includes any information relating to an identifiable individual.

“Privacy Policy” means the PAAM Privacy Policy, as published and updated from time to time at paamapp.com/privacy-notice.

“Subscription” means any paid or unpaid access to PAAM provided on a recurring or ongoing basis.

“Monthly Rolling Basis” means that access to PAAM continues and renews automatically each month unless terminated in accordance with this Agreement.

“Notice” means a formal communication submitted via the in-app system or other approved communication method for the purposes of terminating or managing the Agreement.

By using PAAM, you (“User”), implicitly or explicitly agree to PAAM software’s rules and user guidelines as outlined in these User terms and conditions:

  • The User shall not store, distribute or transmit any Computer Virus, or any material through the Hosting Services that is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; facilitates illegal activity; depicts sexually explicit images; or promotes unlawful violence, discrimination based on race, gender, colour, religious belief, sexual orientation, disability, or any other illegal activities.
  • The User shall not:
    • attempt to copy, duplicate, modify, create derivative works from or distribute all or any portion of PAAM except to the extent expressly set out in this agreement or as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties; or
    • attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of PAAM, except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties; or
    • access all or any part of PAAM or Hosting Services in order to build a product or service which competes with PAAM and/or the Services;
    • use PAAM or Hosting Services to provide services to third parties; or
    • transfer, temporarily or permanently, any of its rights under this agreement; or
    • attempt to obtain, or assist third parties in obtaining unauthorised access to PAAM.

Online Conduct

The User acknowledges that it will comply with the Acceptable Use Policy as published from time to time on Hotbox’s web site at hotboxstudios.co.uk/terms/aup/.

The Acceptable Use Policy is a standard policy for the conduct of Hotbox’s business and is necessary for the orderly and efficient provision of its services to clients.

Right to Delete

In the event of the user breaching the Acceptable Use Policy, Hotbox retains the right to delete files and suspend or terminate access to PAAM at any time without prior warning.

Account Creation & Security Responsibility

Users are responsible for maintaining the strict confidentiality of account credentials at all times; you agree not to share your username, password, or other access credentials with any other person or third party. Hotbox is not liable for any loss or damage arising from your failure to protect your password or account information.

Users must not impersonate another person, create accounts using false information, permit another person to use their account or access an account belonging to another person without authorisation.

Compromise & Breach Notification

You must notify our support team immediately via support@paamapp.com if you suspect or become aware of any unauthorised use of your password, breach of security, or unauthorised access to your account. We reserve the right to disable, suspend, or terminate any user account or password at our discretion if we believe it poses a security threat to our systems or data.

Privacy & Data Protection

Use of PAAM is subject to the PAAM Privacy Policy, as amended from time to time.

By creating an account or using PAAM, the User acknowledges that personal data may be processed in accordance with the Privacy Policy and applicable data protection legislation.

Where PAAM is used by an organisation to administer events, programmes, volunteer placements, staff recruitment or other activities, that organisation may act as the Data Controller in respect of personal data submitted by Users.

Accuracy of Information

The User is responsible for ensuring that all information submitted through PAAM is accurate, complete and up to date.

Where applications, references, medical information, safeguarding information, DBS information or other suitability information are requested, the User agrees to provide truthful and accurate information.

Providing false, misleading or incomplete information may result in the rejection of an application, removal from an event, suspension of access to PAAM or other action deemed appropriate by the organisation administering the event.

Event Applications & Participation

Submission of an application through PAAM does not guarantee acceptance onto any event, programme, placement, role or activity.

All decisions relating to applications, participation, placements, volunteer appointments, staff appointments or event attendance are made solely by the organisation administering the relevant event.

Hotbox Studios Limited accepts no responsibility for decisions made by organisations using PAAM.

Payments

Where payment facilities are provided through PAAM, all payments are made to or on behalf of the organisation administering the relevant event, programme or activity.

Hotbox Studios Limited acts solely as the provider of the software platform and is not responsible for refunds, cancellations, disputes, products, services or activities offered by organisations using PAAM.

Any questions relating to deposits, balances, cancellations, refunds or payment disputes should be directed to the organisation administering the event.

Proprietary Rights

The user acknowledges and agrees that Hotbox and/or its licensors own all intellectual property rights in PAAM and the Services. Except as expressly stated herein, this agreement does not grant the user any rights to, or in, patents, copyrights, database rights, trade secrets, trade names, trademarks (whether registered or unregistered), or any other rights or licences in respect of PAAM, the Services or any related documentation.

Hotbox confirms that it has all the rights in relation to PAAM that are necessary to grant all the rights it purports to grant under, and in accordance with, the terms of this agreement.

Service Availability

Hotbox Studios Limited shall use reasonable endeavours to make PAAM available at all times but does not guarantee uninterrupted, secure or error-free access to the Services.

Access to PAAM may be suspended temporarily for maintenance, upgrades, security reasons, technical issues or circumstances beyond Hotbox Studios Limited’s reasonable control.

Limitation of Liability

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability which cannot lawfully be excluded.

Subject to the foregoing, Hotbox Studios Limited shall not be liable for any indirect, consequential or incidental loss arising from the use of PAAM.

Hotbox Studios Limited acts solely as the provider of the PAAM software platform and is not responsible for decisions, actions, omissions, activities, events or services provided by organisations using PAAM.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising from these Terms and Conditions.
